What Is Policy Governance?
The Board of Directors uses policy governance to direct the general manager and the cooperative as a whole.
Policy governance is based on a few principles:
Written expectations that cover Board Process (how the Board works), Board and General Manager Delegation Relationships (how the Board and General Manager work together), Executive Limitations (what the General Manager can’t do), and Ends policy (what the co-op should accomplish and prioritize).
Put simply, the Board is responsible for vision and policy, and the General Manager is responsible for moving the co-op in the right direction by managing day-to-day operations.
An Engaged, Active Board Is Integral to Our Success
Having an involved, passionate board is critical to the health and viability of our cooperative. They help keep Oryana aligned with its community-driven mission while allowing the general manager to adapt to a changing environment, whether economic, social, or driven by evolving community needs.

The Board of Directors
Oryana’s board is composed of nine elected directors serving three-year terms. Elections take place each year during the General Ownership Meeting, which is typically held in mid-April.
The Board of Directors has clear responsibilities, but it does not oversee day-to-day operations at the co-op.
